End User License Agreement

What you are buying when you buy a Neap plugin.

This agreement is between you and Amit Levy of Yeshuron 1 (“Neap”, “we”, “us”), and it governs your use of Win Win Saturation and any other Neap software you install. Installing or using the software means you accept it. If you do not accept it, do not install the software, and if you have already paid, ask for a refund under the Refund Policy.

1. What you are buying

You are buying a licence to use the software. You are not buying the software itself. Neap and its licensors keep all ownership, copyright and other intellectual property rights in it. Nothing in this agreement transfers any of those to you.

2. What the licence lets you do

Subject to your paying for it and following this agreement, we grant you a non-exclusive, non-transferable, worldwide, perpetual licence to:

  • Install and use the software on up to two (2) computers that you own or control.
  • Use it for any purpose, personal or commercial, including on paid client work and on commercially released recordings. Music you make with it is entirely yours and we claim nothing in it.
  • Make backup copies for your own use.

Both activations may be in use at the same time. If you replace a computer and run out of activations, deactivate the old one under Your computers and the seat is free again immediately, or email support@neap.cloud and we will do it for you at no charge.

3. What the licence does not let you do

You may not:

  • Sell, rent, lease, lend, sublicense, or give away the software or your licence.
  • Share your account so that other people can activate on your licence.
  • Distribute the software, including on file-sharing services or bundled in another product.
  • Reverse engineer, decompile or disassemble the software, or try to derive its source code, except to the exact extent that applicable law says you may despite this clause.
  • Remove or alter any copyright notice, licence check or attribution in the software.
  • Use the software to build a competing product.

Installing it on a shared studio machine that several people use is fine. Installing it on more machines than your activation count by sharing one key is not.

4. Trial version

The software may be used free for 14 days under the Trial Policy, which forms part of this agreement. The trial is the full software with nothing removed. When it expires the software stops processing new audio and shows an unlock screen; it does not delete your settings, your presets or your saved sessions, and a project that uses it will still open.

5. Updates and upgrades

Updates are free for the life of your licence, including major versions. If we ever change that, the change applies only to licences bought afterwards, never to yours. We are not obliged to produce any particular update, to keep supporting a given operating system version, or to keep the product on sale.

6. Licence validation

The software checks your licence against your Neap account when you activate it and periodically afterwards. These checks run in the background. To do that it sends a machine identifier and the product and version. There is no licence key involved at any point. It does not send your audio, your projects, or anything about what you are working on. See the Privacy Policy. For Win Win 1.4.0 online activations, the cached licence remains usable for up to seven days after a successful licence check. Trial licences also stop at their expiry date.

7. Termination

This licence ends automatically if you materially breach it, and we may deactivate the licence if you do. It also ends if you receive a refund. The licence is revoked when the refund is processed, as described in the Refund Policy. On termination you must stop using the software and remove it from your computers.

We will not revoke a licence that is in good standing. A licence you paid for and did not refund is yours.

8. Warranty disclaimer

The software is provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that it will be uninterrupted, error-free, compatible with any particular host or system, or that defects will be corrected.

Nothing here excludes any warranty or right that cannot lawfully be excluded. Consumers in some countries, including in the EU and the UK, have statutory rights that this agreement does not affect.

9. Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, lost recordings, or business interruption, arising out of or relating to the software, however caused and on any theory of liability.

Our total liability for all claims relating to the software will not exceed the amount you actually paid for it in the twelve months before the claim.

We do not exclude liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded.

In plain terms: back up your work. Audio software runs inside a host we do not control, and a plugin crash can take a session with it.

10. Third parties

The software includes components licensed from third parties, including the JUCE framework. Their licence terms continue to apply to those components.

11. Governing law

This agreement is governed by the laws of the State of Israel. The competent courts in Israel have non-exclusive jurisdiction over disputes arising from this agreement. If you are a consumer, nothing in this agreement removes any mandatory protection under the laws of the country where you live, or your right to bring proceedings in your local courts where applicable law gives you that right.

12. Changes

We may change this agreement for future versions of the software. The version you accepted when you bought your licence continues to govern that licence. The current version is always published here.
